Affiliate Program Terms

1. Overview

The Zensity affiliate program lets approved participants (“you,” “Affiliate”) earn commissions for referring paying customers to Zensity (“Zensity,” “we,” “us”), a service of Lambtor LLC. The program is administered through our affiliate platform, Tolt, which handles referral tracking, reporting, and payouts. Your use of Tolt is also subject to Tolt’s own terms.

2. Enrollment & eligibility

• You must be at least 18 years old and able to enter into a binding contract.
• You must provide accurate registration and tax information and keep it current.
• Acceptance into the program is at our sole discretion, and we may decline or revoke enrollment at any time.
• Each Affiliate may maintain a single account unless we authorize otherwise in writing.

3. Independent relationship

You are an independent contractor, not an employee, agent, partner, or joint venturer of Zensity. Nothing in these terms creates any such relationship. You have no authority to make any commitment, representation, or warranty on our behalf, and you may not present yourself as Zensity or as speaking for Zensity. You are solely responsible for your own taxes, expenses, and business decisions.

4. Permitted promotion

You may promote Zensity using the referral links generated for you, through your own genuine content — for example your website, blog, videos, newsletter, or social channels — provided you comply with these terms and all applicable laws. You must clearly and conspicuously disclose your material connection to Zensity wherever you promote us, as required by the U.S. FTC endorsement guidelines and any equivalent rules in your jurisdiction (e.g. “affiliate,” “paid partnership,” or a comparable clear disclosure).

5. Prohibited conduct

You must not, directly or indirectly:

• Make false, misleading, exaggerated, or unauthorized claims about Zensity, its features, pricing, results, or your relationship with us — including any guarantee of productivity, earnings, or outcomes.
• Send spam or any unsolicited email, SMS, messaging, or bulk communication, or otherwise violate CAN-SPAM, TCPA, GDPR, or similar laws.
• Bid on Zensity’s brand terms, trademarks, or misspellings in paid search or advertising, use our name in your domains, ad copy, or social handles in a way that implies you are Zensity, or engage in typosquatting.
• Engage in cookie stuffing, forced clicks, auto-redirects, pop-unders, hidden iframes, or any technique that sets referral tracking without a genuine user click.
• Distribute referral links through adware, malware, browser extensions, or toolbars that inject or overwrite links.
• Generate self-referrals, refer your own accounts, or create fake, fraudulent, or incentivized transactions solely to earn commissions.
• Promote Zensity on any site or in any content that is unlawful, infringing, deceptive, adult, hateful, harassing, or otherwise objectionable.
• Use unauthorized coupon, cashback, or deal sites, or offer rebates, without our prior written approval.
• Modify, obscure, or reverse-engineer the referral links, tracking, or attribution.
• Register or use domain names, app names, or accounts that are confusingly similar to Zensity.

Violating this section may result in immediate termination and forfeiture of unpaid commissions, without limiting our other remedies.

6. Commissions

• How they’re earned. You earn a commission when a customer you validly referred completes a qualifying paid Zensity Pro purchase that is tracked and attributed to you by our platform.
• Attribution. Attribution, the referral/cookie window, and eligibility are determined by our tracking system and program configuration. We and Tolt are the final authority on whether a referral qualifies.
• Rates & structure. Current commission rates, any recurring terms, and the attribution window are those set out in your program dashboard, which form part of these terms.
• Only completed, paid sales count. Commissions accrue only on payments actually received and retained by us. Trials, free plans, taxes, discounts, credits, and unpaid or failed charges do not earn commission.
• Changes. We may change commission rates, structure, or program mechanics prospectively at any time; changes do not affect commissions already validly earned.

7. Payments

• Payouts are processed through Tolt, subject to any minimum payout threshold, holding period, and schedule shown in your dashboard.
• You are responsible for providing valid payment and tax details (e.g. W-9 / W-8) and for all taxes on your commissions. We may withhold payment where required by law or where details are missing.
• We do not pay for referrals we cannot verify, or that we reasonably believe are fraudulent, abusive, or in breach of these terms.

8. Reversals & clawbacks

Commissions are reversible. If a referred payment is later refunded, charged back, disputed, cancelled, or found to be fraudulent or in breach of these terms, the associated commission is void and may be deducted from your current or future balance, or reclaimed from you if already paid. We may also hold or withhold commissions while we investigate suspected abuse.

9. No guarantee of earnings

Participation does not guarantee any traffic, referrals, or income. Any examples are illustrative, not promises. Your results depend on your own efforts and factors outside our control.

10. Brand & intellectual property

We grant you a limited, non-exclusive, revocable, non-transferable license to use the Zensity name and the specific logos and marketing assets we make available, solely to promote Zensity under these terms and any brand guidelines we provide. You may not alter our marks, use them in a disparaging or misleading way, or imply endorsement, sponsorship, or partnership beyond the affiliate relationship. All goodwill from your use benefits Zensity. This license ends automatically when you leave the program or we terminate it, and you must promptly stop using our marks and remove referral links on request.

11. Term & termination

Either party may end participation at any time, with or without cause, effective on notice (including through the program dashboard). On termination you must stop using referral links and our marks. We may terminate immediately and withhold or forfeit unpaid commissions if we reasonably believe you have engaged in fraud, abuse, or a material breach of these terms. Sections that by their nature should survive (e.g. commissions reversal, IP, disclaimers, liability, indemnification, dispute resolution) survive termination.

12. Changes to the program

We may modify, suspend, or discontinue the affiliate program or these terms at any time. For material changes we’ll give reasonable notice (e.g. by email or in the dashboard). Continuing to participate after changes take effect means you accept them.

13. Disclaimers

The program and platform are provided “as is” and “as available,” without warranties of any kind to the fullest extent permitted by law. We don’t warrant that tracking will be uninterrupted or error-free, and we’re not responsible for referrals lost due to tracking limitations, ad blockers, cleared cookies, cross-device journeys, or third-party platforms.

14. Limitation of liability

To the fullest extent permitted by law, Zensity will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or referrals. Our total liability to you relating to the program is limited to the total commissions we paid you in the three (3) months before the event giving rise to the claim.

15. Indemnification

You agree to indemnify, defend, and hold Zensity harmless from any claims, losses, damages, and expenses (including reasonable legal fees) arising out of your promotional methods, your content, your use of our marks, or your breach of these terms or of any law.

16. Dispute resolution & governing law

These terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. Except for claims that may be brought in small-claims court or for injunctive relief to protect intellectual property, any dispute relating to the program will be resolved by binding individual arbitration, and you and Zensity waive any right to a jury trial and to participate in a class or representative action. If arbitration does not apply, disputes will be handled exclusively in the state or federal courts located in Florida.

17. General

You may not assign these terms without our consent; we may assign them freely. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. These terms, together with our Terms of Service and Privacy Policy and your program dashboard settings, are the entire agreement between you and Zensity regarding the affiliate program.
